1. Acceptance of Terms

By accessing or using the FQMatch platform, website (fqmatch.com), or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User") and FQMatch, Inc., a company organized under the laws of the State of Delaware ("FQMatch," "we," "our," or "us").

2. Eligibility and User Accounts

2.1 Eligibility

The Platform is intended for use by internationally trained physicians, medical graduates, and healthcare organizations including Federally Qualified Health Centers ("FQHCs") and related partners. By using the Platform, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity and authority to enter into these Terms;
  • You are a licensed or credentialed medical professional, or an authorized representative of a healthcare organization; and
  • Your use of the Platform complies with all applicable laws and regulations in your jurisdiction.

2.2 Account Registration

To access certain features of the Platform, you must create an account by submitting accurate, current, and complete information through our registration form. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3. Platform Services

FQMatch provides a technology platform that facilitates:

  • Eligibility assessment for alternative U.S. physician licensing pathways;
  • Credentialing documentation tracking and status management;
  • Profile-based matching between internationally trained physicians and FQHCs and safety-net health providers;
  • Compliance workflow guidance related to U.S. state licensure, ECFMG certification, and USMLE requirements; and
  • Communications and placement coordination between physicians and healthcare employer partners.

FQMatch does not guarantee employment, licensure, placement, or visa approval. We are a technology intermediary and not a staffing agency, law firm, or immigration services provider.

4. User Data and License Grant

4.1 Data You Submit

When you register or use the Platform, you may submit personal, professional, and credential-related information including but not limited to: name, contact information, country of medical training, graduation year, specialty, USMLE scores, ECFMG status, visa and immigration status, clinical experience, and practice preferences (collectively, "User Data").

4.2 License Grant to FQMatch

By submitting User Data to the Platform, you hereby grant FQMatch a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, store, process, analyze, aggregate, and derive insights from your User Data for the following purposes:

  • Matching you with FQHC and healthcare employer partners;
  • Assessing your eligibility for alternative licensure pathways;
  • Improving, developing, and operating the Platform and its underlying intelligence and compliance engine;
  • Generating anonymized, aggregated, and de-identified analyses, reports, and derivative works for use with investors, FQHC partners, healthcare organizations, and policymakers; and
  • Complying with applicable legal obligations.

By submitting User Data through the Platform, you expressly acknowledge and agree to the data usage rights and license granted to FQMatch as described in this Section.

For clarity: FQMatch will NOT share your individually identifiable information — including your name, contact details, or specific credentials — without your explicit consent. Aggregate and de-identified data (such as cohort-level statistics on specialty distribution, visa status, or geographic preferences) may be shared with partners and investors without identifying any individual user.

4.3 Derivative Works

You acknowledge and agree that FQMatch may use aggregated, anonymized, or de-identified versions of User Data to develop analytical models, market intelligence reports, platform improvements, and other derivative works. FQMatch retains full ownership of all such derivative works.

4.4 Your Representations Regarding Data

You represent and warrant that: (a) you have the right to submit all User Data you provide; (b) your User Data does not violate any third-party rights; and (c) all information you provide is accurate and complete to the best of your knowledge.

5. Prohibited Conduct

You agree not to:

  • Submit false, misleading, or fraudulent professional credentials or information;
  • Use the Platform for any unlawful purpose or in violation of any applicable regulations;
  • Attempt to reverse engineer, scrape, or extract data from the Platform;
  • Interfere with or disrupt the integrity or operation of the Platform;
  • Use the Platform to transmit unsolicited commercial communications; or
  • Impersonate any person or entity or misrepresent your affiliation with any organization.

6. Intellectual Property

All content, technology, software, design elements, and materials on the Platform — including the FQMatch name, logo, eligibility engine, matching algorithms, and compliance workflows — are the exclusive property of FQMatch, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in FQMatch's proprietary technology or content.

7. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. FQMATCH DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. FQMATCH DOES NOT GUARANTEE ANY SPECIFIC OUTCOME, INCLUDING EMPLOYMENT, LICENSURE, VISA APPROVAL, OR PLACEMENT.

Nothing on the Platform constitutes legal, immigration, or medical licensing advice. Users are encouraged to consult qualified legal counsel for guidance specific to their circumstances.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FQMATCH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FQMatch's total liability for any claims arising under these Terms shall not exceed the greater of (a) $100 USD or (b) the amounts paid by you to FQMatch in the twelve months preceding the claim.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delware, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. Notwithstanding the foregoing, either party may seek injunctive relief in any court of competent jurisdiction.

10. Modifications to Terms

FQMatch reserves the right to modify these Terms at any time. We will notify registered users of material changes via email or prominent notice on the Platform. Your continued use of the Platform following notice of changes constitutes acceptance of the updated Terms.
